FaceJam Affiliate Terms and Conditions

These Affiliate Terms and Conditions ("Affiliate Terms") govern your participation in the FaceJam affiliate program (the "Program") operated by Desta Ventures LLC ("FaceJam," "we," "us," or "our"). By applying to or participating in the Program, you agree to these Affiliate Terms.

1. Program Eligibility and Enrollment

We may approve, reject, suspend, or terminate any affiliate application in our sole discretion.

To participate, you agree that you will:

Provide accurate and complete application information.

Maintain active and compliant promotion methods.

Comply with applicable advertising, consumer protection, and disclosure laws (including FTC endorsement rules where applicable).

2. Commissions and Qualifying Referrals

Commissions are paid only for eligible purchases that we attribute to your approved affiliate account using our referral links, promo codes, and internal records.

2.1 Qualifying Referral

A referral qualifies only if it is a new customer who completes an eligible transaction through your approved referral method and remains active for at least 7 days.

2.2 Commission Scope

Unless we state otherwise in writing, approved affiliates earn a commission equal to 40% of a referred customer's lifetime spend with FaceJam while that referral remains attributed to the affiliate.

2.3 Non-Qualifying Activity

No commission is earned for self-referrals, duplicate accounts, fraudulent transactions, refunded charges, reversed payments, or chargebacks.

3. Payment Terms and Minimum Payouts

Approved commissions are typically paid monthly.

You must have a minimum cleared balance of $25 USD before a payout is issued.

We may delay or withhold payouts while we investigate unusual, suspicious, or non-compliant activity. You are solely responsible for taxes and reporting obligations related to affiliate income.

4. Promotion Standards and Disclosures

You may promote FaceJam using methods that are lawful, accurate, and not misleading.

You must:

Clearly disclose your affiliate relationship wherever endorsements appear.

Use truthful claims and avoid misleading earnings, performance, or product statements.

Ensure your promotional content complies with platform policies and applicable laws.

5. Paid Ads and Brand Keyword Restrictions

Paid search or social ad campaigns that bid on brand terms such as "FaceJam", "facejam.co", close variants, or misspellings are not allowed without prior written permission.

You may not use ad copy, domains, or landing pages that impersonate FaceJam or create confusion about source, sponsorship, or affiliation.

6. Prohibited Conduct

You may not:

Send spam or unsolicited bulk emails, texts, or messages.

Use cookie stuffing, forced redirects, pop-unders, hidden iframes, or similar tracking manipulation.

Publish false, deceptive, defamatory, or infringing content in connection with FaceJam promotion.

Offer unauthorized cashback, rebates, or coupon claims that are not approved by FaceJam.

Engage in fraud, abuse, or any behavior intended to artificially inflate commissions.

7. Intellectual Property and Brand Use

We grant you a limited, revocable, non-exclusive license to use approved FaceJam marketing assets solely to promote the Program.

You may not modify or misuse our trademarks, logos, creative assets, or branding in a way that implies endorsement beyond your approved affiliate relationship.

8. Independent Contractor Relationship

You participate in the Program as an independent contractor. Nothing in these Affiliate Terms creates a partnership, joint venture, agency, franchise, employment, or fiduciary relationship.

You have no authority to make representations, warranties, or commitments on behalf of FaceJam.

9. Termination and Suspension

We may suspend or terminate your Program participation at any time, with or without notice, including for breach of these Affiliate Terms, fraud, legal risk, or behavior that harms FaceJam.

Upon termination, you must promptly remove FaceJam affiliate links and promotional materials from your channels.

Any unpaid commissions tied to invalid, disputed, refunded, chargebacked, or non-compliant referrals may be withheld or forfeited at our discretion.

10. Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING OUT OF OR RELATING TO THE PROGRAM.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS WE PAID TO YOU IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless FaceJam and its affiliates, officers, directors, employees, and agents from and against claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your participation in the Program, your promotional activities, or your breach of these Affiliate Terms.

12. Governing Law and Disputes

These Affiliate Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to these Affiliate Terms or the Program will be brought exclusively in the state or federal courts located in Delaware, unless applicable law requires otherwise.

13. Changes to These Affiliate Terms

We may update these Affiliate Terms at any time. Updates are effective when posted on facejam.co. Your continued participation in the Program after changes are posted constitutes acceptance of the updated terms.
